Agreement to Our Legal Terms

TeamLeap Ltd operates the ZapStack platform, a software system designed to automate cloud optimization. By accessing our services, you acknowledge reading and agreeing to these terms. We reserve the right to modify terms with prior notice via email.

Age requirement: Services are restricted to users 18 years and older.

1. Our Services

Information provided isn't intended for jurisdictions where distribution violates local regulations. Services don't comply with industry-specific requirements like HIPAA or FISMA. Users cannot utilize services in violation of GLBA.

2. Intellectual Property Rights

Company Ownership

TeamLeap holds all intellectual property rights including source code, databases, software, designs, and content.

User License

We grant you a non-exclusive, non-transferable, revocable license for access and download rights for internal business purposes only.

Restrictions

No copying, reproduction, or commercial exploitation without express written permission.

User Submissions

All direct submissions (questions, feedback, suggestions) grant us unrestricted intellectual property rights.

User Contributions

Posted content grants us unlimited, perpetual, worldwide rights including use, reproduction, and derivative works.

Content Responsibility

Users warrant submissions are original or properly licensed.

Removal Rights

We reserve discretion to remove or edit contributions without notice.

3. User Representations

By using our Services, you represent that:

• Registration information is true and current
• You possess legal capacity
• You are not a minor (under 18)
• You won't use automated access methods
• Your use complies with all applicable laws
• You will promptly update your information

Inaccurate information may result in account suspension or termination.

4. User Registration

You must maintain password confidentiality and bear responsibility for account usage. We retain rights to remove usernames deemed inappropriate.

5. Purchases and Payment

Accepted payment methods: Visa, Mastercard, American Express, Discover

You must provide current, accurate information. We may refuse orders and reserve pricing correction rights. Billing currencies available: British Pounds, Euros, US Dollars.

6. Subscriptions

Automatic Renewal

Subscriptions continue automatically unless cancelled.

Free Trial

New users receive a 14-day trial period before charging begins.

Cancellation

All purchases are non-refundable; cancellation takes effect at the end of your billing period.

Fee Changes

We may modify subscription costs with notification in compliance with applicable law.

7. Prohibited Activities

You may not:

• Systematically retrieve data without permission
• Defraud or mislead other users
• Circumvent security features
• Disparage us or our services
• Harass other users
• Misuse support services
• Violate applicable laws
• Frame or improperly link to services
• Upload viruses or spam
• Use automated systems, bots, or scrapers
• Impersonate other users
• Upload surveillance or collection mechanisms
• Interfere with service operation
• Harass company employees
• Bypass access restrictions
• Copy or reverse engineer software
• Use purchasing agents
• Create unauthorized accounts
• Compete with company interests
• Advertise products or services
• Transfer user profiles

8. User Generated Contributions

Our services may invite users to participate in forums, blogs, and discussion boards. Contributions must be:

• Non-infringing of third-party rights
• Originally created or properly licensed
• Lawful and non-defamatory
• Accurate and non-misleading
• Not commercial solicitation
• Non-obscene and non-harassing
• Respectful of privacy and publicity rights
• Compliant with child protection laws

You warrant contributions don't violate laws or service terms.

9. Contribution Licence

By posting contributions, you grant us unrestricted, perpetual, worldwide rights including reproduction, distribution, and derivative works. You retain ownership but waive moral rights. We may edit or remove contributions without notice.

10. Social Media

You may link third-party accounts (social media, etc.) by providing login information or granting access. We may access and store social network content. You acknowledge that third-party account terms govern those relationships separately. You may disconnect accounts anytime.

11. Third-Party Websites and Content

We don't investigate or monitor third-party links or content. We bear no responsibility for third-party websites, content accuracy, or policies. You engage third parties at your own risk. We don't endorse third-party products or services.

12. Services Management

We reserve rights to:

• Monitor services for violations
• Take legal action against violators
• Refuse or restrict access
• Remove excessive or burdensome files
• Manage services to protect rights

13. Privacy Policy

You agree to our privacy policy at zapstack.io/privacy. Services are hosted in the United Kingdom and United States. You consent to data transfer and processing in these locations.

14. Term and Termination

We reserve absolute discretion to deny access without notice or liability. Accounts may be terminated anytime without warning. You cannot create replacement accounts under false identities.

15. Modifications and Interruptions

We may modify or remove service content anytime without notice. No guarantee of continuous availability. We assume no liability for downtime or service discontinuation.

16. Governing Law

These terms are governed by England and Wales law. UN Convention on Contracts for International Sales is excluded. EU consumers receive mandatory consumer protections. Jurisdiction is established in England courts, with option to litigate in your EU country of residence.

17. Dispute Resolution

Informal Resolution

Parties will attempt 30-day negotiation before arbitration.

Arbitration

Single arbitrator chosen per European Centre of Arbitration rules; seat in London, England; language English; substantive law of United Kingdom.

Restrictions

No class action arbitration; disputes limited to individual parties.

Exceptions

Intellectual property, theft, privacy violations, and injunctive relief claims are excluded from arbitration.

18. Corrections

We reserve rights to correct typographical errors, inaccuracies, and omissions without notice.

19. Disclaimer

Services are provided "AS-IS" and "AS-AVAILABLE." We disclaim all warranties. No guarantees regarding accuracy, completeness, or security. We assume no liability for errors, personal injury, unauthorized access, transmission interruptions, viruses, or content losses. Third-party products and services are excluded from our responsibility.

20. Limitations of Liability

We and our representatives bear no liability for direct, indirect, consequential, or punitive damages. Liability is limited to amounts paid during the six-month period preceding claims. Some jurisdictions restrict liability limitations; applicable protections may apply.

21. Indemnification

You agree to defend and indemnify us for losses arising from contributions, service use, legal breaches, third-party rights violations, or harmful user conduct. We assume defense control at your expense and will notify you of claims when possible.

22. User Data

We maintain data for service management and performance. You bear responsibility for transmitted data. We assume no liability for data loss or corruption.

23. Electronic Communications, Transactions, and Signatures

Electronic communications satisfy legal writing requirements. You consent to electronic signatures, contracts, and delivery. You waive requirements for original signatures or non-electronic records.

25. Miscellaneous

These terms constitute the entire agreement. Our failure to enforce provisions doesn't waive rights. We may assign obligations to others. Unlawful provisions are severable from the agreement. No partnership or employment relationship is created. You waive defenses based on electronic form.
